Scott Marden – Managing Partner:  Before joining Compass Partners, Mr. Marden led the investment activities in the information, media and services sectors at DLJ Merchant Banking Parnters ("DLJMBP") since 2006.  From 2001 to 2005, he served as President of the Information and Media segment of The McGraw-Hill Companies, Inc., where he oversaw multiple operating businesses including J.D. Power and Associates, McGraw-Hill Construction, Platts and BusinessWeek.  He also served on the company’s executive management committee.  From 1998 to 2001, Mr. Marden was a partner at Compass Partners European Equity Fund.  His executive experience also includes serving as President of Marvel Entertainment Group, Inc. (1996-1998), where he directed the company’s publishing, licensing and international businesses and served as a member of Marvel’s Board of Directors, and President and CEO of Philips Media (1993-1996), a $1 billion division of Philips Electronics N.V., where he held worldwide operating responsibility for Philips’ software, digital broadband and service businesses.  Mr. Marden held senior investment banking roles at Bear Stearns & Co. (1991-1993) and Bankers Trust Company (1986-1991), where he led each firm’s information and media investment banking practices.  He was a senior executive at CBS, Inc. beginning in 1982, where he served as President of the CBS International Publishing division. 

Mr. Marden has served on a number of corporate boards including Advanstar, Inc., General Magic, Inc., Marvel Entertainment Group, Inc., Metro Goldwyn Mayer, Inc., NavTech, Inc., United Pan European Communications N.V. and Whittle Communications, Inc.  He currently serves on the Board of Directors for DANTOM Systems, Inc.

Mr. Marden holds a bachelor’s degree from Fordham University and received a master’s degree in international policy from the University of Chicago’s Harris School.

Justin Lipton – Managing Director:  Before joining Compass Partners, Mr. Lipton was a Principal at DLJMBP.  At DLJMBP, he completed a broad range of private equity transactions across the business services, media, consumer, energy and industrial sectors and was responsible for deal sourcing, investment due diligence, deal execution and post-closing value enhancement.  Mr. Lipton also worked on several investments for DLJ Growth Capital Partners L.P., the growth capital fund within DLJMBP.  Before joining DLJMBP in 2002, Mr. Lipton worked in the Global Industrial and Services Group at Credit Suisse, where he worked on a variety of mergers and acquisitions and financing transactions for corporate clients and financial sponsors.  Mr. Lipton currently serves on the Board of Directors for DANTOM Systems, Inc., Total Safety, Inc., Deffenbaugh Industries, Inc. and Luxury Optical Holdings LLC. 

Mr. Lipton graduated from Cornell with a B.S. in Applied Economics and Management.

Melissa Vlak – Managing Director and COO:  Before joining Compass Partners, Ms. Vlak served as the Chief Operating Officer and Head of Investor Relations at DLJMBP.  At DLJMBP she was responsible for implementing and executing the operational strategy of the fund and for managing investor communications with the fund’s limited partners.  Prior to joining DLJMB in 2005, Ms. Vlak was a Vice President at Rothschild Realty, Inc., the real estate principal investment arm of the Rothschild Group, where she was responsible for investment due diligence and deal execution across a broad range of real estate private equity transactions.  Prior to joining Rothschild Reality, Inc. in 2000, Ms. Vlak was a Manager in the Real Estate Transaction Advisory Services Group at Arthur Andersen, LLP. 

Ms. Vlak graduated from Lehigh University with a B.S. in Accounting.

Bobby Kelly – Principal:  Before joining Compass Partners, Mr. Kelly was a Principal at DLJMBP.  At DLJMBP, he worked on a broad range of private equity transactions across the business services, consumer, leisure and industrial sectors and was responsible for deal sourcing, investment due diligence, deal execution and post-closing value enhancement.  He currently serves on the Board of Directors for DANTOM Systems, Inc. and previously served on the Board of Directors for The Service Companies, Inc.  Before joining DLJMBP in 2004, Mr. Kelly worked in the Mergers & Acquisitions Group at UBS Investment Bank, where he executed a variety of financial advisory assignments for corporate clients and financial sponsors. 

Mr. Kelly graduated from Boston College with a B.S. in Finance.

Stephen Howard – Vice President:  Before joining Compass Partners, Mr. Howard was an Associate at DLJMBP.  At DLJMBP, he worked on a broad range of private equity transactions across the business services, healthcare and industrial sectors and was responsible for deal sourcing, investment due diligence, deal execution and post-closing value enhancement.  He has served on the Board of Directors for The Service Companies.  Before joining DLJMBP, Mr. Howard worked in the Mergers & Acquisitions Group at UBS Investment Bank, where he executed a variety of financial advisory assignments for corporate clients and financial sponsors. 

Mr. Howard graduated from Southern Methodist University with B.S. and M.S. degree in Accounting.

Raman Brar - Associate: Prior to joining Compass Partners in 2010, Mr. Brar was an Analyst at Wells Fargo Securities, where he worked in the Technology, Media and Telecommunications investment banking group. At Wells Fargo, he was involved in all aspects of M&A transactions as well as debt and equity issuances for private equity and corporate clients.

Mr. Brar graduated from University of Pennsylvania's Dual Degree Program, where he received a B.S.E. in electrical engineering and a B.A. in economics. He is fluent in English, Hindi and Punjabi.

Stephen Waters – Investment Committee Member: Mr. Waters has over 35 years of experience providing international strategic and financial advice to corporations, institutional investors, sovereign governments and private families.  He co-founded Compass Advisers in 1996 and serves as Managing Partner for the Compass Partners European Equity Fund.  Prior to Compass Advisers, Mr. Waters served as Co-Chief Executive Officer of Morgan Stanley Europe from 1992 to 1996 and was a member of Morgan Stanley’s worldwide 12-person Operating Committee.  He joined Morgan Stanley as a Managing Director in the Mergers and Acquisitions Department in 1988 and served as Co-Director of that department from 1990 to 1992.  Prior to Morgan Stanley, Mr. Waters served as Co-Director of Shearson Lehman Brothers’ Mergers and Acquisition Department from 1985 to 1988, which he helped launch in 1977.

Mr. Waters is a Director of Boston Private Financial Holdings, Inc. and Valero Energy Corp., Chairman of the United States Naval Institute, co-Chair of the Harvard College Fund and Chairman of the Advisory Board of Boston University’s School of Public Health.

Mr. Waters graduated from Harvard College with honors, magna cum laude and Phi Beta Kappa, and earned his M.B.A at Harvard Business School, where he was a Baker Scholar.
